Welcome to NewBanger. These Terms & Conditions ("Terms") govern your access to and use of the NewBanger platform, website and services (collectively, the "Platform"). By accessing or using NewBanger, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Introduction

NewBanger is a music promotion marketplace that connects musicians and artists ("Clients") with independent third-party promotion professionals including playlist curators, bloggers, influencers, DJs and content creators ("Service Providers"). NewBanger facilitates promotion campaigns but does not guarantee specific results.

2. Eligibility

To use NewBanger, you must:

• Be at least 18 years old.
• Provide accurate and complete registration information.
• Have the legal authority to enter into binding agreements.
• Maintain the security of your account credentials.

You are responsible for all activity under your account.

3. Platform Overview

NewBanger provides a marketplace infrastructure that:

• Connects artists with third-party Service Providers.
• Enables booking and payment for promotional campaigns.
• Facilitates campaign coordination and tracking.

NewBanger does not:

• Guarantee playlist placements, streaming numbers, followers or engagement.
• Control third-party platforms such as Spotify, Apple Music, Audiomack, Boomplay or social media platforms.
• Control how independent Service Providers execute campaigns.

All promotional results depend on audience behaviour, content quality and market conditions.

4. User Accounts

You agree to:

• Provide truthful and accurate information during registration and at all times.
• Maintain only one account unless expressly approved by NewBanger.
• Keep your login credentials confidential and not share them with any third party.

NewBanger reserves the right to suspend or terminate accounts that violate these Terms or engage in suspicious or fraudulent activity.

5. Payments & Pricing

• All pricing is clearly displayed before purchase.
• Payments must be completed before campaign activation.
• Campaign fees are non-refundable once a campaign has commenced, except as outlined in our Refund Policy.
• Chargebacks or fraudulent payment disputes may result in account suspension and legal action.

NewBanger uses secure third-party payment processors and does not store sensitive payment details directly. See our Refund Policy for details on eligible refunds.

6. Service Delivery Disclaimer

Music promotion outcomes are influenced by multiple external variables beyond NewBanger's control. The Platform is provided on an "as is" and "as available" basis.

7. Intellectual Property

• Artists retain full ownership of their music and submitted content.
• By submitting content, you grant NewBanger a limited, non-exclusive licence to use such content for campaign execution and promotional purposes.
• All platform branding, software and proprietary systems belong exclusively to NewBanger Digital Limited.

Unauthorised use of NewBanger intellectual property is strictly prohibited.

8. Prohibited Conduct

Users may not:

• Upload infringing or unauthorised content.
• Purchase or promote fake streams, bots or artificial engagement.
• Harass or threaten Service Providers or other users.
• Engage in fraud, payment abuse or money laundering.
• Attempt to reverse-engineer, exploit or compromise the Platform.

Violation of any of the above may result in immediate account termination without refund.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• NewBanger shall not be liable for indirect, incidental, special or consequential damages arising from use of the Platform.
• Total liability shall not exceed the amount paid by the user for the specific campaign in dispute.

10. Termination

NewBanger may suspend or terminate your access for violations of these Terms at its sole discretion. Users may discontinue use of the Platform at any time. Fees paid prior to termination remain subject to the applicable Refund Policy.

11. Modifications to Terms

NewBanger reserves the right to update these Terms at any time. We will notify users of material changes by updating the "Last Updated" date above. Continued use of the Platform after any changes constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and interpreted under the laws of the Federal Republic of Nigeria. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
